Buyers, sellers and lenders in M&A transactions are usually concerned about the allocation of known and unknown environmental, cyber, and other business risks. How best to allocate these risks between the parties, and even transfer them to third parties? Are risk transfer insurance products available and effective, or not? This roundtable, led by seasoned M&A professionals from all sides of the transaction, will discuss best practices in allocation, indemnification, and risk transfer, including the availability (and limitations) of commercial insurance risk transfer vehicles.
